1. Acceptance of Terms

By accessing or using HomeIQ Academy ("the Service"), including our website at homeiqacademy.com and our mobile application, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

HomeIQ Academy is an educational platform that helps prospective homebuyers understand their financial readiness through interactive lessons, financial simulators, and a personalized Readiness Score. The Service is free for individual buyers. Real estate agents may subscribe to paid plans for additional features.

3. Not Financial Advice

HomeIQ Academy does not provide financial, legal, or mortgage advice. All content, scores, and simulator outputs are for educational and informational purposes only. Your Readiness Score is based on self-reported data and does not constitute a credit check, loan pre-approval, or guarantee of mortgage eligibility. The Readiness Score has no bearing on actual mortgage qualification decisions made by lenders.

AI-Generated Content: Certain features of the Service use artificial intelligence to generate content, including but not limited to: nurture messages sent to buyers, score explanations, lesson recommendations, and check-in messages delivered through in-app chat. AI-generated content is reviewed for quality but may contain inaccuracies. It does not constitute professional advice of any kind. Always consult a licensed mortgage professional, financial advisor, or attorney before making financial decisions.

4. User Accounts

To use certain features, you must create an account using email (magic link), Google, or Apple sign-in. You are responsible for maintaining the security of your chosen authentication method and for all activity under your account. You agree to provide accurate information and to update it as needed. You must be at least 18 years old to create an account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to access other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or extract data from the Service without permission
• Use the Service to transmit spam or unsolicited communications
• Impersonate another person or entity

6. Agent Subscriptions

Starter Plan: Agents may begin with our Starter plan at no cost and with no credit card required. The Starter plan includes up to 2 buyer accounts. We reserve the right to modify the terms of the Starter plan, including buyer limits and available features, with 30 days' notice to affected users.

Paid Plans: Growth and Enterprise agent accounts are billed monthly at the rate corresponding to the selected plan. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. We reserve the right to change pricing with 30 days' notice.

7. Intellectual Property

All content, design, code, and materials on HomeIQ Academy are owned by us or our licensors and are protected by copyright and intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without written permission.

8. User Content

You retain ownership of any data you provide (financial profile, messages, etc.). By using the Service, you grant us a limited license to use this data to operate and improve the platform. We will not sell your personal data to third parties. See our Privacy Policy for details.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the accuracy of Readiness Scores, simulator outputs, or educational content. We are not responsible for decisions you make based on information from the Service.

10. Limitation of Liability

To the maximum extent permitted by law, HomeIQ Academy and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless HomeIQ Academy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Third-Party Agent Conduct

HomeIQ Academy may facilitate connections between buyers and independent real estate agents. We do not employ, endorse, or guarantee the conduct of any real estate agent on the platform. Agents are independent professionals operating under their own licenses and brokerage agreements. HomeIQ Academy is not a party to any transaction between a buyer and an agent, and we are not liable for any agent's advice, actions, omissions, representations, or professional conduct. Any disputes between you and an agent should be resolved directly with that agent and/or their brokerage.

13. Account Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting support@homeiqacademy.com. Upon deletion, your personal data will be removed within 30 days, as described in our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

Informal Resolution First: Before filing any formal dispute, you agree to contact us at support@homeiqacademy.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the State of California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration against HomeIQ Academy.

Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims eligible for small claims court may be brought there instead of arbitration.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@homeiqacademy.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.

17. Apple App Store Terms

If you access the Service through our iOS application downloaded from Apple's App Store, the following additional terms apply:

• These Terms are between you and HomeIQ Academy, not Apple Inc. Apple has no obligation to provide maintenance or support for the app.
• In the event of any failure of the app to conform to applicable warranties, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims relating to the app, including product liability claims, consumer protection claims, or intellectual property infringement claims.
• In the event of any third-party claim that the app infringes a third party's intellectual property rights, HomeIQ Academy, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce them against you as a third-party beneficiary.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
